Meinl International Power has its registered office in Jersey, Channel Islands. The company was incorporated on 15 June 2007 and is managed by seven directors. On the basis of the Management Agreement of 5 July 2007, the operative management was delegated to Meinl Power Management Ltd. with seat in Jersey (“MPM”), with the latter exercising part of its duties via its wholly-owned subsidiary Meinl Power Management s.r.o. (“MPM SK”) in Bratislava. Slovakia’s capital Bratislava was selected as the seat of a branch office due to its proximity to relevant Eastern European markets.
The tasks of MPM include, among others, consultation in strategic matters, evaluating, structuring, as well as carrying out due diligence for investments. Additional operational duties of MPM, as laid down in the Management Agreement, are the selection, arranging, acquisition, and development of suitable investments in the areas indicated above for Meinl International Power as well as the asset management and procurement of debt capital.
MPM carries out its business in accordance with the Board resolutions taken by Meinl International Power. In doing so, the Board of the company at any time has control and supervision of investment measures taken by MPM.
